مطالعۀ تطبیقیِ شرط عدم عزل وکیل به‌صورت شرط نتیجۀ ضمن عقد در نظامِ حقوقیِ افغانستان و ایران

عقد وکالت از عقود جایز و اذنی بوده و در هر زمان قابل‌فسخ است. در روابط مغلق امروزی، جایز‌بودن عقد وکالت سبب گردیده تا نگرانی‌هایی برای طرفین عقد ناشی از عدم استحکام این رابطة حقوقی به‌وجود آید. برای رفع این تزلزل و به‌منظور ایجاد رابطه‌یی پایدار و غیرقابل فسخ، برخی از افراد به درج شرط عدم عزل وکیل ضمن عقد روی آورده اند. با این نگاه، پرسشی طرح می‌گردد که: هرگاه عدم عزل وکیل به‌صورت شرط نتیجۀ ضمن عقد درج گردد، آیا حق عزل ساقط می‌گردد؟ این تحقیق ازلحاظ ماهیت توصیفی- تحلیلی، از منظر هدف توسعه‌یی و با استفاده از ابزار کتاب‌خانه‌یی برای جمع‌آوری اطلاعات درصدد بررسی تطبیقی شرط عدم عزل وکیل به‌صورت شرط نتیجه ضمن عقد در نظامِ حقوقی افغانستان و ایران بوده است. برایند تحقیق نشان میدهد که در نظامِ حقوقی افغانستان، هرچند مادۀ قانونیِ مشخصی در این خصوص وجود ندارد، اما با استناد به مادۀ ۴۳، بند ۲ مادۀ ۵۰۲، مادۀ ۵۹۸، و مواد ۶۰۷ و ۶۱۱ قانون مدنی و هم‌چنین بند ۱ مادۀ ۱۳ قانون قراردادهای تجارتی و فروش اموال، می‌توان با درج چنین شرطی به‌صورت جزئی حق عزل را سلب یا محدود نمود. در نظامِ حقوقی ایران، بر اساس مادۀ ۶۷۹ قانون مدنی، درج شرط عدم عزل به‌عنوان شرط نتیجۀ ضمن عقد لازم اعتبار دارد و الزام‌آور است. تفاوت عمده در این است که نظامِ حقوقی افغانستان علاوه بر مخالفت با سلب کامل حق عزل، حق ثالث را نیز محترم شمرده و در مواردی که وکالت به‌حق غیر تعلق گرفته باشد، عزل موکل بدون رضایت ذی‌نفع معتبر نیست.
